Board Member Application

TPRA has two Board Member positions opening up at the end of this year. We are currently looking for passionate TPRM leaders who want to advance the profession and influence change. Please review the following information on Board Member terms and requirements before applying.​

APPLICATION PROCESS & TIMELINE

  1. Application Opens: Monday, September 1, 2025

  2. Application Closes: Tuesday, September 30, 2025

  3. Interviews Held: Wednesday, October 1, 2025 - Friday, October 31, 2025

  4. Nominees Announced: Thursday, November 13, 2025, 10:00 - 11:00 AM CT at our TPRM Webinar. Nominees must be able to attend.​

  5. Voting: Thursday, November 13, 2025 - Thursday, November 20, 2025

  6. Board Members Announced: Monday, November 24, 2025

  7. Transitional Board Meeting: Thursday, December 4, 2025, 1:00 - 2:00 PM CT

  8. Term Starts: Thursday, January 1, 2026

QUALIFICATIONS

Members of the Board of Directors must:

  1. Be active members of the Third Party Risk Association and in good standing.

  2. Be considered a Practitioner: those who identify, assess, monitor, mitigate, manage, etc., risks associated with third parties for their own organization. Employees of TPRM Service Providers, Tools, Platforms, Vendors, etc., are not eligible to apply.

  3. Hold a leadership role related to risk and/or governance within their own organization. 

  4. Submit a resume to the Third Party Risk Association. 

  5. Be subjected to an interview by the corporation’s Officers and current Board of Directors. 

TERM DURATION

  • Term Duration: Each board member shall serve an indefinite term, subject to periodic reevaluation as specified herein.

  • Reevaluation Period: The performance, contributions, and continued suitability of each board member shall be reevaluated every three (3) years from the date of their initial appointment or last reevaluation or from a triggered event, as it is brought to the attention of the Board members that may require an earlier reevaluation. Board member reevaluation will be staggered to one board member per year unless a triggered reevaluation occurs.

  • Resignation: Board Members may resign at any time but must inform the CEO in a timely manner.

DUTIES

Duties of the Board of Directors may include, but not be limited to: 

  1. Attend monthly board meetings and all other meetings required by the Bylaws.

  2. Lead and/or participate in a Board Committee.     

  3. Supervise the administration of the corporation's officers, agents, and employees to ensure that their duties are performed properly.

  4. Appoint and remove, employ and discharge, and approve the proposed duties and compensation of all officers, agents, and employees of the corporation.

  5. Meet at such times and places as required by the Bylaws.

  6. Register their email and physical addresses with the Secretary of the corporation, and notices of meetings mailed or electronically sent to them at such addresses shall be valid notices thereof.

  7. Participate in other volunteer activities as assigned.
